What is Private Limited Company (Sdn. Bhd.)

Private Limited Company is the popular choice among company owner for formation of company. Specialty about Private Limited Company is the creation of separate legal entity between owner and the company. In the absence of a dissolution by the Board of Directors or Shareholders of the Company, the Company may acquire property, incur debt, enter into contracts, file or receive legal proceedings on its behalf, and continue in existence in perpetuity.

Advantages of starting a Private Limit Company in Malaysia

  • Limited liability. Company owner assets are saved from company debts or loss.
  • Foreign ownership. For the majority of company activity, foreign equity can own a corporate entity at 100%.
  • Transferable shares. Directly can issue additional share to existing or new shareholder.
  • Attractive tax rate. Low corporation tax rates are applied to Private Limited Companies.
  • Reputation. In Malaysia, a limited corporation has greater credibility than other types of organizations.

 

What is required to form a Private Limited Company

  • A unique company name. The firm name must be original and unheard of elsewhere.
  • At least one shareholder. There must be a foreign or local individual or corporate entity.
  • A resident director. A minimum of one director with a primary residence in Malaysia.
  • A company secretary. The applicant must be a Malaysian citizen who meets the requirements.
  • Address in Malaysia. A local registered business address (Company operation office address).

 

Steps to starting a Private Limited Company

  1. Name search. Performing a name search for a firm at SSM to see if the suggested company name is available.
  2. Company registration. Registering a company in Malaysia with assistance of licensed company secretary recognized by SSM.
  3. Opening a corporate bank account. In Malaysia, you can open a bank account with any local or foreign bank.
  4. Obtaining permits and licenses according to the business nature (Depending on the nature of your services and products, this may or may not apply to your firm).
  5. Obey the corporation tax filling requirement with licensed tax agent recognized under Inland Revenue Board (LHDN).
  6. Perform annual filling to government such as SSM Annual Return (AR), Financial Statement (FS).

年度申报表 (Annual Return/ AR)  根据 2016 年公司法第 68 条文,所有在 Suruhanjaya Syarikat Malaysia (SSM) 注册成立的公司每年都必须提交年度申报表(AR)。   年度申报表概览 年度申报表 (AR) 是所有公司信息的摘要,例如业务活动、业务地址、注册办事处、公司董事会(董事和股东)、公司秘书和股东的详细信息及其持股详情。   年度申报表(AR)的目的 通过提交年度申报表 (AR) ,公司的利益相关者或投资者知道公司在提交年度的周年纪念日或注册日期正式营业。 所提供的信息通常会帮助公司的利益相关者形成对公司状况和条件的总体了解。   提交年度申报表 (AR) 指定的持牌公司秘书或公司代理人负责通过 MBRS 平台向注册服务商提交年度文件。 此外,公司必须在其在马来西亚注册或注册成立周年之日起 30 天内提交每个日历年的年度申报表 (AR)。   违反规定的罚款 每个公司董事会将被处以不超过 RM 50,000 的罚款。 如果是持续犯罪的情况下,则在定罪后持续犯罪的每一天,罚款不超过 RM 1,000.00。 根据 2016 年公司法第 549 条,连续三年或以上未提交年度申报表 (AR),SSM有权注销公司注册。   年度申报表 (AR) 提醒日期 在 BP Strategy Secretary Sdn.
